Corporate & Commercial

We can incorporate and organize your company and ensure that it is properly registered in the jurisdictions in which registration is required. We can also assist in obtaining various tax numbers necessary to operate your business. We assist our clients in identifying optimal vehicles for their and prepare all agreements required in connection therewith. We maintain our clients' corporate minute books and work with accountants and tax advisors to implement corporate reorganizations. We negotiate and draft agreements which are necessary for business operations. We support clients through the review of commercial agreements to ensure compliance with local law and adapt out-of-province agreements as required. We also assist through the issuance of Canadian corporate and enforceability legal opinions.

Mergers & Acquisitions

We can assist our clients in the context of transactions in the investigative phase through the coordination of legal and business due diligence. We have significant experience in coordinating and implementing domestic transactions (shares and/or assets) together with all related closing and pre-closing documentation, filings and registrations.

Real Estate & Financing

We act for landlords and tenants in negotiating commercial leases (including subleases, assignments and consents). We are called upon by our clients to prepare offers to purchase real estate; assist and coordinate the due diligence process and prepare deeds of sale. We also act for our clients to review financing documents, including the review of credit agreements, guarantees and hypothecs.

Litigation/Mediation & Alternative Dispute Resolution

We handle a variety of corporate/commercial litigation, including contractual disputes (landlord/tenant matters, general breach of contract), debt collection (outstanding balance on goods sold and/or services rendered, rent arrears, outstanding loans), property damage and civil liability. Regardless of the nature of the dispute or the field of law, alternate methods of conflict resolution may be useful tools and options to put an end to an ongoing dispute.
